The first rounds of crowdfunding are already having a concrete impact!

Thanks to your investments in Elema Corpo and Elema Corpo T2, several significant advances have been made:

On ECOPARK 5: Long-term refinancing of €5.8M from BPI France is currently being finalized.

On ECOPARK 6: Marketing has reached 100% since March 2023, validating the relevance of the economic model; partial delivery took place in November 2024 and the site is already generating rental and energy income in line with projections, illustrating the robustness of the model.

On ECOPARK 7: The land acquisition was completed in November 2024 via SAS ECOPARK TOURS (Éléma Capital & MIMCO Green Value at 50% each) + confirmed contractual commitment with the contractor and payment of a deposit (construction starting in early June), four leases in a future state of completion signed, and financing in progress with a banking actor.

Sustainable real estate plays a crucial role in the ecological and energy transition by offering innovative solutions! By promoting energy autonomy and advocating for more sustainable lifestyles, it contributes to the fight against climate change and the preservation of the environment for future generations.

What Are the Objectives?

The upcoming Ecoparks aim to obtain the Biodivercity and/or BREEAM labels, which are guarantees of their ecological commitment. These labels involve: → reducing land artificialization to preserve natural spaces while developing modern infrastructures; → optimizing the production of green energy with the use of solar panels placed on the roof to produce renewable energy on-site; → promoting eco-mobility and collective self-consumption with the installation of charging stations for electric vehicles, encouraging the consumption of locally produced energy.

What About Site Performance?

The results of the sites exceed initial forecasts, with indexed rents on the rise, increased use of charging stations, and an increase in the production capacity of renewable electricity thanks to ecoparking canopies.

What Is the Repayment Strategy?

Several levers are considered to ensure the payment of interest and the repayment of the borrowed capital:

  1. Ecoparks No. 1 to 5 can be refinanced to incorporate a larger share of debt and/or renegotiate the debt ratio. This operation would free up a significant amount of cash if needed to repay the bonds. This is the preferred option currently, and the project leader has started looking for a banking partner to accompany them in this process.

  2. As presented in the table below, Elema Capital’s business plan anticipates significant revenues during the term of the bonds subscribed by Enerfip’s investors (until 2027). These flows come from:
    1. rental cash flows from project companies;
    2. property management fees;
    3. property management fees;
    4. development commissions. In total, nearly €17 million in revenue is expected during the 2024-2027 period at Elema Capital. → After deducting operating expenses and financial commissions, the cash available for Enerfip’s debt service (interest + principal) is nearly €12 million during the 2024-2027 period.
  3. Finally, the sale of certain Ecoparks is being considered by Elema Capital, with the aim of:
    1. facilitating repayment;
    2. consolidating the group’s cash flow in anticipation of future development/construction costs. → In particular, the sale of Ecopark 6 would free up net cash of approximately €5.8 million. A partial sale of assets is being considered, in support of the long-term financial consolidation strategy.

Why invest?

This is a fundraising campaign for a 5 million euro bond financing over 3 years, aimed at refinancing part of the debts contracted with Club Funding.

This issue, carried out by the parent company Elema Capital, will be followed by a new issue of 3.8 million euros for the subsidiary Smart Écopark, dedicated to the development and management of Écoparks, as illustrated in the scheme of the operation’s structure below.

Guarantees

To mitigate the risk of total capital loss, Enerfip has obtained a first-ranking pledge on the securities of Elema Capital and a second-ranking pledge on the securities of the company holding two assets: SAS Smart Ecopark.

In the event of default on the current account of associates, these pledges will allow the residual value of the assets to be recovered to partially repay Enerfip’s investors.

What is an Ecopark?

Ecoparks are business parks located on the urban outskirts, designed to offer their tenants functional and qualitative innovations while being respectful of the environment.

What are the characteristics of an Ecopark?

The buildings are certified BEPOS+ : positive energy building. → What does this mean? The business park produces more energy than it consumes, thanks to excellent insulation and the optimization of on-site resources such as solar panels placed on the roof.

The eco-responsible strengths of an Ecopark

High connectivity: high-speed internet access for all tenants. Convivial spaces: areas dedicated to exchanges and relaxation. Charging stations for electric vehicles: numerous charging stations powered by the photovoltaic coverage, offering reduced-cost charging. Rainwater harvesting: a collection system for sustainable water management.

Optimal energy management: the electricity for common areas is entirely powered by solar production & excess energy is fed into the grid, generating additional revenue.
